Agreeing to these terms
These terms are an agreement between you and All The Moments LLC ("we," "us"), covering allthemoments.com and the software products we operate. By creating an account or using a product, you're agreeing to them. If you're using a product on behalf of a business, you're agreeing on that business's behalf and confirming you're allowed to.
An individual product may add terms specific to how it works — an ordering deadline, a payout schedule, a fair-use limit. Where it does, those product terms sit alongside these and control if the two ever conflict.
Your account
You need to be at least 18, or old enough to enter a contract where you live. Keep your login details to yourself, use a password you don't use elsewhere, and tell us promptly if you think someone else has gotten in. What happens under your account is your responsibility, so keep the contact details on it current.
What you can and can't do
You may use our products for their intended purpose, including running your own business on them. You may not:
- break the law with them, or use them to harass, defraud or harm anyone;
- attempt to breach, overload, probe or reverse-engineer the service, or get around its security or usage limits;
- resell, sublicense or white-label access without our written agreement;
- upload malware, or content you don't have the right to use;
- scrape or bulk-extract data from the service other than your own.
If you sell food or other regulated goods through one of our products, complying with the rules that apply to your business — licensing, labeling, food safety, tax — is your responsibility, not ours. Our software helps you keep records; it doesn't make you compliant.
Your content stays yours
You own what you put into our products — your customer lists, menus, products, prices, photos and notes. You give us only the permission we need to operate the service for you: to store that content, back it up, display it to you and to the people you choose to share it with, and to process it so the features work.
We'll never claim ownership of your content or use it to promote our products without asking you first.
Our software stays ours
The products, their code, design, trademarks and documentation belong to All The Moments LLC and our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing — not a transfer of any of that. If you send us feedback or an idea, thank you; we may act on it without owing you anything for it.
Paid plans, billing and refunds
Prices and what each plan includes are shown at signup. Paid subscriptions renew automatically for the same term until you cancel, and we charge the payment method on file through our payment processor. Cancel any time from your account settings — your access continues through the end of the period you've already paid for.
If we change a price, we'll give you notice before it applies to your renewal. Taxes may be added where required.
Products still in development
Some of what we build is offered in beta or early access, and is labeled that way. Those releases may change, break or disappear, and they're provided without the availability commitments that apply to our established products. Don't rely on a beta for anything you can't afford to lose.
Availability and changes
We work to keep our products running, but we don't promise uninterrupted service. We may add, change or remove features, take the service down for maintenance, or set reasonable usage limits. If we're going to discontinue a product you're paying for, we'll give you reasonable notice and a way to export your data.
Third-party services
Our products connect to services we don't control — payment processors, mapping, email delivery, app stores. Your use of those is governed by their terms, and we're not responsible for how they behave or for content they supply.
Ending the agreement
You can close your account at any time. We may suspend or terminate an account if it breaks these terms, creates a legal or security risk, or goes unpaid — and we'll tell you why where we're able to. After termination, the sections of these terms that are meant to outlast the agreement (ownership, disclaimers, limits of liability, dispute resolution) continue to apply. Export anything you want to keep before you close an account.
Disclaimers
Our products are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the service will be error-free, that it will meet your requirements, or that any data or calculation it produces is accurate for your circumstances. Nothing we provide is legal, tax, accounting or food-safety advice.
Limitation of liability
To the fullest extent the law allows, All The Moments LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption. Our total liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months before the claim arose, or one hundred US dollars if you haven't paid us anything.
Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
Indemnity
If your use of a product, your content, or your business's activity leads to a claim against us, you agree to defend and indemnify us against it, including reasonable legal fees — except to the extent the claim is caused by our own wrongdoing.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction there — unless applicable consumer protection law entitles you to bring a claim in your local courts, in which case that law controls.
Changes to these terms
We may update these terms as the products change. We'll update the date at the top, and for material changes we'll give notice in the product or by email before they take effect. Continuing to use a product after that means you accept the new terms.
The rest
If any provision is found unenforceable, the remainder stays in force. Our not enforcing something immediately isn't a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger or sale of the business. Together with any product-specific terms and our Privacy Policy, this is the entire agreement between us.
